Investor Agreement

1. Parties and purpose

This Investor Agreement ("Agreement") is between Investdoor Ltd ("Investdoor", "we", "us") and you, the investor ("you"). It governs your access to deal listings, gated deal documents, and any reservation made through the Investdoor platform.

This Agreement should be read alongside our Terms of Service and Privacy Policy. In the event of any conflict, this Agreement takes precedence in respect of investor-specific obligations.

By ticking the acceptance boxes during investor verification or deal unlock, you confirm that you have read, understood, and agree to be bound by this Agreement.

2. Platform access and eligibility

You may browse live deal listings without verification. To unlock gated deal documents or reserve a deal, you must hold a current verified status on your account. Verification requires:

  • submission of a valid government-issued photo ID; and
  • submission of current proof of funds demonstrating available capital.

Verification is reviewed manually by our compliance team and expires as follows: photo ID is valid for 12 months from the date of approval; proof of funds is valid for 3 months from the date of approval. You will be required to resubmit relevant documents on expiry.

3. Confidentiality

When you unlock or are granted access to any gated deal information — including property addresses, financial details, vendor information, deal documents, or any other non-public material shared through the platform — you agree to keep that information strictly confidential.

Specifically, you must not:

  • share deal information, documents, or property addresses with any third party without Investdoor's prior written consent;
  • publish, reproduce, or distribute deal materials in any form, including on social media or in marketing materials;
  • use deal information for any purpose other than evaluating a potential investment through the Investdoor platform; or
  • disclose deal information to any person who has not themselves agreed to equivalent confidentiality obligations.

These confidentiality obligations remain in force for a period of 3 years from the date you accessed the relevant deal information, regardless of whether you proceed with a reservation or your account is closed.

4. Non-circumvention

You acknowledge that deal suppliers and property details introduced through the Investdoor platform are proprietary introductions. You agree that you will not:

  • contact any property vendor, seller, or deal supplier introduced through the platform directly, except through Investdoor's messaging system or with Investdoor's prior written consent;
  • attempt to negotiate or transact directly with any party introduced through the platform in order to avoid paying Investdoor's platform fee;
  • introduce any third party to a deal or supplier introduced through the platform for the purpose of circumventing the platform; or
  • for a period of 24 months from first introduction, transact with any supplier introduced through Investdoor on any deal outside of the platform without Investdoor's prior written consent.

Breach of these non-circumvention obligations will entitle Investdoor to claim damages equal to the full platform fee that would have been payable had the transaction been completed through the platform, together with any legal costs incurred in enforcement.

5. Platform conduct

When using the Investdoor platform you agree to:

  • act in good faith and not make reservations you do not intend to proceed with;
  • keep all platform communications professional and respectful;
  • respond to supplier enquiries and messages within a reasonable time;
  • not submit false or misleading information during verification or any reservation process; and
  • comply with all applicable laws in connection with any property transaction you undertake.

6. Reservations and platform fees

When you reserve a deal through Investdoor, the following applies:

  • A reservation deposit is payable to Investdoor to secure the deal introduction. The amount is displayed on the deal listing and reflects the payment structure set by the supplier (e.g. 50% of the sourcing fee, full fee upfront, or a fixed deposit).
  • Investdoor charges a flat platform fee, deducted from your reservation payment before the balance is transferred to the supplier. The platform fee is always based on the deal's total sourcing fee, regardless of how much is paid at reservation. The exact amount is shown in the payment breakdown before you confirm.
  • The deposit is non-refundable once Investdoor has provided you with the supplier's contact details and deal-specific documents, unless the deal falls through through no fault of your own.
  • Investdoor is an introduction platform only and is not a party to any underlying property transaction. Completion of a transaction is a matter between you and the supplier.

6a. Platform fee schedule

The platform fee is a flat amount determined by the deal's total sourcing fee:

Is the platform fee refundable? The platform fee is non-refundable once a reservation is confirmed. If a deal is withdrawn by the supplier after reservation, Investdoor will review refund eligibility on a case-by-case basis.

What about a £0 platform fee? Some deals carry a £0 platform fee. This is offered by Investdoor as part of our supplier incentive programme and may apply to deals listed by newer suppliers on the platform. Where this applies, it will be clearly shown in the payment breakdown before you reserve. Your reservation is subject to the same terms regardless of whether a platform fee applies.

Trader deals. For trader deals, there is no sourcing fee. The £349 platform fee is the only amount paid at reservation. The trader's profit comes from the property sale itself and is separate from the reservation payment.

7. No financial advice

Nothing provided by Investdoor — including deal listings, financial summaries, yield calculations, or any other content — constitutes financial advice, investment advice, or a personal recommendation. You are solely responsible for conducting your own due diligence and for seeking independent professional advice before committing to any investment.

8. Limitation of liability

To the fullest extent permitted by law, Investdoor's total liability to you in connection with this Agreement shall not exceed the platform fees paid by you in the preceding 12 months. Investdoor shall not be liable for any loss arising from a supplier's failure to complete a deal, inaccurate deal information provided by a supplier, or any investment decision you make based on information available on the platform.

9. Suspension and termination

Investdoor may suspend or terminate your investor account immediately if you breach any term of this Agreement or our Terms of Service, or if we have reasonable grounds to suspect fraud or misrepresentation. Termination does not affect confidentiality or non-circumvention obligations, which survive termination.

10. Governing law

This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be notified by email at least 14 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the revised Agreement.
